These Terms and Conditions (the "Terms") describe the conditions of use of our Websites and Services and the general conditions of sale of our Services. Please read them carefully before using the Services.

Firepanel is a Portuguese product brand associated with Hypnotic Digital Agency Lda, registered at Av. Prof Dr Egas Moniz 13 Edif C 1 Esq, 2625-147 Portugal, tax number 509 136 818, represented by Luis Freire and Gonçalo Pinheiro ("Firepanel", "we", "us" or "our").

Your use of the Firepanel Websites and related applications and resources (collectively, the "Services") is subject to the binding legal agreement set out below. If you use the Services on behalf of an organization, you represent that you have authority to bind that organization, and "you" refers to that organization.

1. Acceptance of the Terms

These Terms apply each time you visit our websites (https://firepanel.io and https://console.firepanel.io) (the "Websites"), use our Services, or purchase a subscription. By creating an account, clicking "I agree to the Terms", or otherwise using the Services, you confirm that you have read, understood, and accept these Terms and our Privacy Policy, which is incorporated by reference. If you do not agree, you must not use the Services.

2. Definitions

Services
The Firepanel Websites, Console, mobile applications, APIs, and related tools and resources.
Console
The Firepanel application at console.firepanel.io (and the mobile apps) used to manage your connected projects.
Customer Content
The data, content, files, credentials, and end-user data you upload to, connect to, or manage through the Services, including data held in your own Firebase or Google Cloud project.
Connected Project
A Firebase or Google Cloud project you connect to the Services using a service account or equivalent credential.

3. Eligibility and Accounts

The Services are not directed at children and you must be at least 16 years old to use them. Accounts are created through federated sign-in with a third-party identity provider (such as Google, GitHub, Apple, or Microsoft). You agree to provide accurate information, to keep your account credentials and connected identity providers secure, and to be responsible for all activity that occurs under your account. Notify us promptly at support@firepanel.io of any unauthorized use. You may not share, sell, or transfer your account.

4. Our Services

Firepanel provides a set of tools for developers and teams to manage Firebase and Google Cloud content, storage, users, push notifications, and related resources more easily. The Services include:

Console

The primary application where you manage your Connected Projects and their data.

Website

The marketing website where our products and services are presented and where you can subscribe.

Mobile Apps

The Firepanel apps for Android and iOS, which provide access to Console functionality on mobile devices.

We may add, change, or discontinue features at any time. Some features may be offered on a trial, beta, or experimental basis and are provided "as is" (see Section 18).

5. Your Connected Projects and Responsibilities

The Services operate on your own Firebase and Google Cloud projects, which you connect using a service account or equivalent credential. You are solely responsible for:

  • your Connected Projects, including all configuration, security, and access controls you set on them;
  • all fees, quotas, and charges billed to you directly by Google (Firebase / Google Cloud), which are separate from, and not included in, your Firepanel subscription;
  • maintaining your own backups and ensuring you have the rights to connect and process the data in those projects; and
  • revoking Firepanel's access (by removing the service account) if you stop using the Services.

You grant Firepanel permission to access and process your Connected Projects and Customer Content solely to provide the Services to you.

6. Customer Content and Data

As between you and Firepanel, you retain all rights to your Customer Content. You grant us a limited, non-exclusive license to host, process, transmit, and display Customer Content only as necessary to provide, secure, and support the Services.

Where Customer Content includes personal data of your own end-users, you are the data controller and Firepanel acts as your data processor, processing such data only on your instructions and under a Data Processing Agreement (DPA) available on request at support@firepanel.io. You are responsible for having a valid legal basis for the personal data you process through the Services. Our handling of personal data is described in our Privacy Policy.

7. AI Features

The Services may offer AI-assisted features (for example, generating content types or sample content) powered by Google Gemini via Vertex AI. These features run on your own Connected Project, using your service account, and any AI usage is billed to you by Google, not by Firepanel. AI output is generated automatically, may be inaccurate, incomplete, or unsuitable, and is provided "as is" without warranty. You are responsible for reviewing and validating any AI output before relying on or publishing it. You must not use AI features to generate unlawful, infringing, or harmful content.

8. Acceptable Use

When using the Services, you agree not to:

  • violate any applicable law or the rights (including privacy, publicity, and intellectual property rights) of others;
  • upload, store, or transmit unlawful, infringing, defamatory, abusive, harassing, or otherwise objectionable content;
  • reverse engineer, decompile, copy, resell, sublicense, or create derivative works from the Services except as permitted by law;
  • interfere with or disrupt the Services or the infrastructure they run on, circumvent usage limits, or gain unauthorized access to any systems or data;
  • conduct security testing, penetration testing, or automated scraping of the Services without our prior written consent; or
  • use the Services to build a competing product or to send spam or malware.

We may investigate and take appropriate action, including suspension or termination, for any breach of this Section.

9. Plans, Trials and Fees

Plans

We offer a free plan (with limited usage) and one or more paid plans, each with defined limits and features shown at checkout and on our pricing page. Feature limits apply to your account and Connected Projects.

Free trial

We may offer a free trial (currently 7 days) to eligible new subscribers. A payment method is collected at sign-up but no charge is made during the trial. A trial is available only once per customer. Unless you cancel before the trial ends, your subscription will automatically convert to a paid subscription and your payment method will be charged at the end of the trial. If you cancel during the trial, you keep access until the trial end date and are not charged.

Prices and taxes

Prices are stated at checkout and may be exclusive or inclusive of applicable taxes (such as VAT) as indicated there. You are responsible for all taxes associated with your purchase other than taxes based on our net income. We may change prices at any time, but the price applicable to your current billing period is the one in effect when that period began; price changes take effect at your next renewal, with prior notice where required by law.

Order and payment

To subscribe, select a plan and complete checkout. Payments and card details are processed and stored directly by Stripe; Firepanel never receives or stores your full card details. Before confirming, you can review your order details and total. By confirming your order you accept these Terms of sale, and we will send you a confirmation email.

Auto-renewal

Paid subscriptions renew automatically for successive periods of the same length (monthly or yearly, as selected) until canceled. By subscribing, you authorize Firepanel (through Stripe) to automatically charge your payment method the applicable fee on each renewal date. You can view your renewal date and manage your subscription in the Console.

Upgrades and downgrades

If you upgrade, the change takes effect immediately and you are charged a prorated amount for the remainder of the current period. If you downgrade, the change is scheduled to take effect at the end of your current billing period, and no refund is given for the current period. Downgrades may be blocked if your current usage exceeds the target plan's limits.

10. Failed Payments, Suspension and Downgrade

If a renewal charge fails, we will retry it and notify you by email. If payment continues to fail, your account may enter a grace period during which some actions (such as creating new projects or inviting members) are restricted while your existing data remains accessible. If payment is not resolved by the end of the grace period, your subscription will be downgraded to the free plan. Where your usage then exceeds the free plan's limits, excess projects will be archived rather than deleted, and your data will be preserved. You can restore full access by updating your payment method and, where applicable, resubscribing. You can update your payment method at any time through the Stripe Customer Portal linked in the Console.

11. Cancellation

You can cancel your subscription at any time from the Console. On cancellation, your subscription continues until the end of the current billing period, after which it is downgraded to the free plan and no further charges are made. Cancellation does not entitle you to a refund of amounts already paid for the current period, except as set out in Section 12 or as required by law. You may undo a cancellation before the period ends by resuming your subscription in the Console.

12. Refunds

Except where required by applicable law (including any consumer rights described in Section 14) or expressly stated in these Terms, all fees are non-refundable and there are no refunds or credits for partial periods, unused features, or downgrades. We may, at our sole discretion, issue a full or partial refund in individual cases; doing so does not obligate us to provide refunds in any other case.

13. Chargebacks

If you believe you have been charged in error, please contact us at support@firepanel.io before disputing a charge with your bank or card issuer. Initiating a chargeback for a legitimate charge is a breach of these Terms and may result in immediate suspension or termination of your account, without prejudice to our right to recover the disputed amounts and associated fees.

14. Consumers

If you use the Services as a consumer (a natural person acting outside your trade, business, or profession), you benefit from mandatory protections under applicable consumer law that these Terms do not limit or exclude.

Right of withdrawal. As a consumer in the EU, you generally have 14 days to withdraw from a distance contract. However, by subscribing to a paid plan or starting a free trial that converts to a paid plan and expressly requesting that the Services begin immediately, you acknowledge that you lose your right of withdrawal once the Services have been fully performed, and that for partially performed digital services you may owe an amount proportionate to what has been provided. Online dispute resolution. The European Commission provides an Online Dispute Resolution (ODR) platform at https://ec.europa.eu/consumers/odr. Consumers in Portugal may also contact the relevant consumer dispute arbitration center.

15. Intellectual Property

The Services, including their software, logos, interfaces, designs, and content (excluding Customer Content), are owned by Hypnotic Digital Agency Lda or its licensors and are protected by applicable law, with all rights reserved. We grant you a limited, non-exclusive, non-transferable, revocable right to use the Services in accordance with these Terms. Except as expressly permitted, no part of the Services may be copied, reproduced, republished, distributed, transmitted, or otherwise exploited without our prior written consent. We may terminate your access without notice if you infringe or misappropriate the intellectual property rights of others.

16. Feedback

If you send us suggestions, ideas, or other feedback about the Services, you grant us a perpetual, irrevocable, worldwide, royalty-free license to use and incorporate that feedback into the Services without any obligation or compensation to you.

17. Third-Party Services

The Services rely on and interoperate with third-party services, including Google (Firebase / Google Cloud), Stripe, and others. Your use of those services may be subject to their own terms, and we are not responsible for the availability, performance, acts, or omissions of any third-party service, including outages or changes outside our control.

18. Service Availability

We aim to keep the Services available but do not guarantee uninterrupted or error-free operation. Unless we have separately agreed a written service-level agreement with you, the Services are provided without any uptime or availability commitment. The Services may be interrupted temporarily for maintenance, testing, repairs, updates, or other operational reasons, without creating liability. Beta or experimental features may be changed or withdrawn at any time and are provided "as is".

19. Disclaimer of Warranties

To the maximum extent permitted by applicable law, the Websites and the Services are provided on an "AS IS" and "AS AVAILABLE" basis. FIREPANEL, FOR ITSELF AND ITS LICENSORS, MAKES NO EXPRESS, IMPLIED, OR STATUTORY WARRANTIES OR GUARANTEES OF ANY KIND, INCLUDING WITHOUT LIMITATION IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant that the Services will be uninterrupted, secure, or error-free, that defects will be corrected, that any content or output (including AI output) is accurate or complete, or that the Services or servers are free of viruses or other harmful components. Nothing in these Terms excludes or limits any warranty or right that cannot be excluded or limited under applicable law, including mandatory consumer rights.

20. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, FIREPANEL SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF DATA, REVENUE, PROFITS, GOODWILL, OR BUSINESS, HOWEVER ARISING AND EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. FIREPANEL'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS SHALL NOT EXCEED THE TOTAL AMOUNT YOU PAID TO FIREPANEL IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM. Nothing in these Terms limits liability for fraud, willful misconduct, death or personal injury caused by negligence, or any other liability that cannot be limited under applicable law. If you are a consumer, these limitations apply only to the extent permitted by consumer law, and your mandatory statutory rights are unaffected.

21. Indemnification

To the extent permitted by law, you agree to indemnify and hold harmless Firepanel and its affiliates, officers, and employees from and against any claims, damages, liabilities, and reasonable expenses (including legal fees) arising out of or related to your Customer Content, your Connected Projects, your use of the Services, or your breach of these Terms or of applicable law. This Section does not apply to consumers except to the extent permitted by applicable law.

22. Term, Suspension and Termination

These Terms apply for as long as you use the Services or hold an account. We may suspend or terminate your access, in whole or in part, if you breach these Terms, fail to pay, or use the Services in a way that may cause harm or legal exposure to us or others. You may stop using the Services at any time and may cancel a paid subscription as described in Section 11.

On termination of your account, your right to use the Services ends. We will make your data available for export for a reasonable period after termination, after which we may delete it in accordance with our Privacy Policy and applicable retention obligations. Provisions that by their nature should survive termination (including Sections 6, 12, 13, 15, 16, 19, 20, 21, and 25) will survive.

23. Force Majeure

Firepanel shall not be liable for any failure or delay in performance due to circumstances beyond its reasonable control that could not have been foreseen at the time of contracting and whose effects cannot be avoided by appropriate measures. In such a case, the time for performance shall be extended by a period reasonably necessary to overcome the effect of the delay.

24. Changes to the Services and Terms

We may change the Services and these Terms at any time. When we make material changes to the Terms, we will post the updated Terms on this page, update the date above, and notify you where required. Changes take effect when posted (or on the date stated). By continuing to use the Services after changes take effect, you accept the updated Terms; if you do not agree, you must stop using the Services.

25. General

These Terms, together with the Privacy Policy and any DPA or order you accept, constitute the entire agreement between you and Firepanel regarding the Services and supersede any prior agreements. If any provision is found unenforceable, the remaining provisions remain in effect. Our failure to enforce any provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets. Notices to us should be sent to support@firepanel.io.

26. Trademarks

"Firepanel" is a trademark of Hypnotic Digital Agency Lda. Other trademarks are the property of their respective owners.

27. Privacy

The protection of your personal data is important to us and we process it in accordance with the GDPR and other applicable data protection law, as described in our Privacy Policy, which forms an integral part of these Terms.

Should a dispute arise, we will offer you the possibility of an amicable mediation process, which you are free to accept or refuse. Consumers may also use the dispute resolution options described in Section 14.

29. Governing Law and Jurisdiction

These Terms and any dispute arising out of or in connection with them are governed by the laws of Portugal. Subject to any mandatory rights that entitle a consumer to bring proceedings in the courts of their place of residence, the courts of Lisbon, Portugal shall have exclusive jurisdiction to settle any dispute arising out of or in connection with these Terms.
